Memo 2 Assignment Rationale
In any organization, the governing board is crucial for setting strategy and direction that the organization must take; consequently, in the governing board, the teamwork`sviewpoint must prevail in order to eliminate individual project planthat may influence and direct the organizational against commongoal achievement.
This highlights the different aspects of responsibilities that each board member is entitled to: one of them is moral responsibility to regularly attend the board meeting and participate it without any distraction. Board of Directors must be aware of the attendance policy that they have to ethically report the board meeting without necessarily being told to comply. The reason for saying is the importance that must be given to an organization board of directors meeting since it is part of moral accountability which “exists when reporting believed to be an obligation for one to be accountable to the other.” (Renz, D. O & Herman D.R., 2010, p.434)
Board of directors` moral responsibility is automatically a duty of obedience “ which is the obedience to the organization`s mission, bylaws, and policies, as well as honoring the term of conditions of other standards of appropriate behavior such as laws, rules, and regulations.” (Renz, D. O & Herman D.R.,2010, p. 129)
Unfortunately, sometimes, when it comes to the board of directors meeting, some members no longer have this sense of moral accountability and obedience; therefore, their actions and behaviors may translate disobedience. The following reasons could explain the actions of these board member who no longer show interest in the board activities:
a) Lack of consideration: the board members, who feel to have no voice in the leadership will lose motivation to fully engage in the board initiatives. Since their points of view and suggestions are not taken into account, these board members will feel less important to the organization and will behave accordingly.
b) Voice Monopolization: some board members will show no-interest in the board meeting if some board members always monopolize the voice that the chance is not equally giving to everybody to express his or her view.
c) Ongoing monotony: lack of diversity and implementation of new ideas could be a source of non-excitement or non-dynamism in the group
Consequently, these board members, who distant themselves, will fail to fulfill their responsibilities of:
1) Legal Duties which are duties of care, duty of loyalty, and duty of obedience.” (Renz, D. O & Herman D.R.,2010, pp.128-129)
2) Fiducialresponsibility, which is the responsibility to treat the resources of the organization as a trust use in a reasonable, appropriate, and legally accountable manner.” (Renz, D. O & Herman D.R.,2010,p.129)

Moreover, they may no longer to efficiently establish policy, secure essential resources and their use; furthermore, they may no longer adequately lead, manage, and engage with constituent. Looking at these problems, it will be in the organization best interest to fix these issues. The board chairperson musttry to identify the problem in the leadership in order to resolve it. On of the best approach will be to remember to all board member the need to comply with the board of director internal policy; then the chairman will persuade the “disobedient” board members in that direction. At the same time, the chairperson must how to motivate these board members by meeting any reasonable needs they may have. It is obvious that some individuals If attempt have been made but these individuals are no changing their behavior, the chairman must be firm and follow the best procedures to replace themby the best qualified new board members. Furthermore, diversity could be very useful to the organization success, so the board must consider gender and race equality in the new board members choice.
