quasi-contract

Question #1:  Define the term "quasi-contract" and explain in detail what  party must prove to recover damages under the theory of quasi-contract.

Question #2:  Dora owns the Bar-D Ranch.  Dora is friends with Cody, and often writes to him about what is happening in her life. On September 1, Dora mailed Cody a letter in which she told him about her decision to put the ranch up for sale, and included details such as the price she would want to receive and other terms of the sale.  Cody has always wanted to own a ranch, so upon reading the letter, he immediately wrote on the bottom of the last page “I accept. Thanks! Cody” and mailed it back to her.  Dora received Cody’s response, laughed, and tossed it in the garbage. One week later Cody stopped by the ranch with a check for the purchase price that Dora had included in the letter.  Dora refused to accept Cody’s check, and told him that they do not have a contract and that she never really intended to sell the ranch – what she had written in the letter was just her venting to him because she had been very tired and stressed that day. Cody believes that the parties do have a valid, legally enforceable contract, and wants Dora to be forced to complete the sale. Do the parties have a valid, enforceable contract?  Why or why not?  What standard would a court use to determine whether these parties have a contract?  If they do, what are the possible remedies the court could order?  Explain your reasoning in detail.

Question #3:  Best Products, Inc. (Best), hires Cole to develop and implement an e-commerce strategy for marketing Best’s products.  Cole signs a contract that includes a clause prohibiting him from competing with Best during and after the employment.  Before the strategy is implemented, Cole resigns from Best’s employ and opens a business to compete with Best.  In Best’s suit against Cole, what is the most important factor the court should consider in determining whether Cole should be allowed to compete with Best?  Explain your reasoning in detail
