Candy is the sole owner of candy's nails. She did not take any steps to form a legal business entity. After a successful opening she hires Todd as an independent contractor, doing nails in her salon three days a week. He has a sign on his desk stating he is an independent contractor of candy's. After a month todd asks candy if she has been paying social security taxes for him. He also tells candy that a customer, phylis is going to sue todd and candy's nails because of a nasty fungus she got when todd did her nails. he also tells candy that phylis told her book club that she got the fungus at candy's and is sure that other people have it too. A) does candy have a duty to pay ss taxes? (no, as an independent contractor he is responsible for his own 1099)    B) assuming phylis can establish negligence by todd, does candy's nails have a legal responsibility to phylis? does candy have a personal legal responsibility to phylis?  C) does candy's nails have a potential claim against phylis for her actions? If so, will candy's prevail? (no, to both questions. Candy is running her business illegally by failing to form a legal business entity. if anything, she will be fined and shut down.
