I want to do business in event field. Business proposal: Students should first choose an industry and more specifically, an organization (what kind of business you want to do), to be located in the EU but operate globally. Really pay attention to structure, management, regulatory framework and other legal considerations. Â
After choosing the organization, prepare a proposal that shows integration of legal issues into the business plan process. In order to do that, the student needs to identify the relevance of specific areas of the law and the possible resources or solutions likely to be useful in the resolution of the specific legal issues raised.
The questions presented below lists some key points relating to Business Law that you need to consider while preparing the legal section of a business plan. The importance of different points will depend on the organization´s particular situation and business. Further, the list is not exhaustive, and many additional issues may have to be considered depending on the organization´s circumstances. However, the answers to these questions may help you to integrate the legal issues into your business planning process, and writing your proposal.
First, choose your industry, and the type of organization/business you will propose. Your assignment is to complete the legal section of the business plan. Next, choose in which country (must be an EU Member State) your business will be located, as well as at least one non-EU Member State in which the business will operate or trade.

1.   What type of law system must your business recognize and respect, within the EU and globally – in the particular non-Member State in which your business will operate or trade? If the legal systems are different, what issues could arise as a result? What kind of precautions do you propose for the business to avoid negative consequences?

2.   How does the law affect the day-to-day operations of your organization? For example: Is your business one that depends on trade, such as export/import controls? Does your business depend from a sales force, which operates under employment or commission agreements? Does your business rely on third-party contracts, service contracts or marketing or license agreements?

3.   Is your industry regulated by EU law or by the Member-State’s own government? What about the non-Member State that you have chosen – is the industry regulated in that country? What kind of complications might your business face if it is regulated by any of these Governing bodies?

4.   Does your proposal differ when discussing operations inside the EU (Single market, four freedoms) versus globally/ outside the EU? What are the positive effects of the single market on your business? Negative effects?

5.   What corporate form do you propose for the business? What structure, management and financing do you propose? How do your choices affect the liability of the company’s managers, investors, directors and officers? Do your business need to address the possibility of an Agency relationship?

6.   What kind of contracts will be required for the day-to-day operations of the business? What kind of rights and obligations (GTCs) are important to your industry/organization? What type of clauses are mandatory or helpful to your business? Are adhesion contracts a relevant concern for your business? Why or why not?

7.   How do you propose that your business will operate outside the EU? Will your business create a new entity, purchase an already existing business or work together with a local company in a joint venture? Depending on your answer, what are the major legal issues that need to be addressed or measures that need to be taken in order to successfully operate in another country, outside the EU? Again, depending on your answer, what kind of legal documents, contracts, structural issues, regulatory issues and exit strategies need to be addressed?

8.   How do you propose that your company handles disputes? What kind of mechanisms would you put in place to arrange for proper and smooth dispute resolution? Will your company go to court in another country? Do you propose alternatives to resolution by trial? What kind of issues might your business face when trying to enforce judgments globally?
