Essay 1 - 200 words
In 2005, Lindenwood Pharmaceuticals, Inc. purchased all of the stock of Hinckley Chemical Company, a chemical company located in Hinckley, Missouri. Lindenwood Pharmaceuticals, Inc. operated Hinckley Chemical Company as a wholly owned subsidiary and renamed it Lindenwood Chemical Company. At the time of the purchase, Lindenwood Pharmaceuticals made a $3,000,000 infusion of capital into its new chemical subsidiary. Lindenwood Chemical had its own Board of Directors who were named to the Board by Lindenwood Pharmaceuticals, its sole shareholder. Two of the seven Board members of Lindenwood Chemical's Board of Directors also sat on the Board of Directors of Lindenwood Pharmaceuticals. Lindenwood Chemical Company provided annual reports to Lindenwood Pharmaceuticals regarding its business operations. In 2007, Uli Martschalk, the head of engineering for Lindenwood Pharmaceuticals was appointed Vice President of Environmental Policy for Lindenwood Chemicals. In January 2012, Lindenwood Chemicals sold its assets and discontinued its business operations. In August 2012, it was discovered that Lindenwood Chemicals had been illegally dumping chemical wastes in violation of federal and state environmental laws since 2005. There were reports that Martschalk became aware of the dumping when he joined Lindenwood Chemicals in 2009 and continued the practice. Residents living near the chemical dump site sued Lindenwood Pharmaceuticals for personal injuries, claiming that they have developed cancer as a result of the ground water contamination caused by the illegal dumping of chemical wastes. You are hired by Lindenwood Pharmaceuticals to advise them on the strengths and weaknesses of the plaintiffs' claims against it. Explain in detail your advice to Lindenwood Pharmaceuticals.

Total Foods is a major retail seller of organically grown fruits and vegetables and organically produced egg and dairy products. Consistent with its image of being environmentally responsible. Total Foods has publicly promoted a strict adherence to high standards of social consciousness and corporate social responsibility (CSR). Total Foods extensively promotes its image as a socially conscious and environmentally responsible company in massive advertising campaigns and aggressive use of social media and makes substantial donations to organizations promoting the humane treatment of livestock. Recent blogs have reported health concerns resulting from unsanitary conditions at two egg producing facilities in Iowa which supplied eggs to Total Foods, and that the egg laying hens at these facilities were kept in cages and conditions inconsistent with the humane standards espoused by Total Foods in its advertising. Other bloggers have raised serious questions regarding 3 major suppliers of produce to Total Foods, claiming that the produce sold to Total Foods does not meet the federal standards to be labeled as organic. Two of these suppliers previously admitted to selling produce falsely labeled as organic to Veggie Patty, Inc., another major retailer of organic foods. The blogs claim that Total Foods was aware of the problems with its suppliers. Despite its claim and reputation of following a strict policy of corporate social responsibility, environmental and animal groups now criticize Total Foods as being no different than the other major retailers like Walmart, which follow a policy of profit maximization regardless of social costs. Bloggers claim Total Foods exercised little oversight over it’s the activities of those in its supply chain. You have been hired as a CSR consultant to advise Total Food's Board of Directors. Using the concepts set forth in the text book, discuss how Total Food 's situation can be used to undermine the arguments of those who advocate profit maximization as an appropriate business model. Discuss how a company that has shown a seemingly genuine and strong commitment to CSR could find itself in Total Food's situation. Make at least two recommendations to the Board of Directors for future actions designed to minimize the potential adverse effects of profit maximization on Total Foods' commitment to CSR.

Mark is a college student who works as a driver for the driver service, Uber. Mark gets paid $12 an hour for the hours he drives his car for Uber. Sometimes Mark drives as much as 50 hours in a week for Uber, and other times he drives only 20 hours in a week for Uber. Uber must approve the hours that Mark will drive in a week and sets the prices its drivers may charge customers. Uber’s website advertises for drivers, stating that “Uber Needs Partners Like You. Drive with Uber and earn great money as an independent contractor.” While Mark is driving a passenger in his car for Uber, he drives too fast, loses control of his car and has an accident severely injuring his passenger, Alek. Alek plans to sue the Mark for his negligent driving and is seeking $10,000,000 in damages for his injuries, which include broken arm, two broken legs, and a spinal injury that has left him paralyzed. Mark has insurance coverage in the amount of $500,000. Mark notifies Uber of the accident. The Director of Loss Management asks you to advise her of Uber’s risk should Alek file a lawsuit against Uber seeking damages from Uber as a result of Mark’s accident. Explain the legal risks to Uber in this scenario, discussing in detail the legal principles involved in your analysis. Set forth the facts you need to know to help you analyze Uber’s risk.

Reacting to the massive recall of the potentially contaminated eggs from major egg producers in Iowa, the California legislature passed a law prohibiting the sale of eggs within the state of California that are not obtained from egg laying chickens raised and caged in accordance with “humane standards” set by the California Department of Agriculture. Total Eggs is a major egg producer in the state of Iowa selling close to three billion eggs annually throughout United States. Total Eggs does not meet the standards passed by the California Department of Agriculture, and has recently been cited by federal health inspectors for violations of federal sanitation standards. 40% of Total Eggs' sales are to purchasers within California. Total Eggs claims it will lose millions of dollars in profits and its business will be substantially harmed by the California legislation. Total Egg claims that the California law is designed to protect California egg producers from out-state competition. Total Eggs has filed a lawsuit in the federal district court in California seeking to have the California law declared void as both a violation of the dormant Commerce Clause and the Equal Protection Clause. You are the judge. How do you decide? Thoroughly explain your answer.
