The analysis should cover internal corporate governance systems such as the organisation and operation of the board of directors (or equivalent), the relationship between the auditor and the company, executive remuneration as well as shareholder rights and the typical ownership structure of the companies. In line with the question, students are expected to focus their analysis on the perspective of minority investors. Good to very good answers are expected to also take account of external corporate governance and discuss topics such as shareholder concentration or diversification, liquidity and depth of the capital markets, investor behaviour (and motivation). Very good to excellent answers are expected to provide a coherent evaluation of the advantages and challenges of the relevant corporate governance system from the perspective of the minority investors.
